We are not an insurance carrier or underwriter — insurance coverage is issued, underwritten, and governed entirely by the terms, conditions, and exclusions of the policy issued by the applicable carrier, not by anything on our website. Similarly, our tax preparation services are performed based on the information you provide and are subject to review and acceptance by the IRS and applicable state tax authorities.

2. No Professional, Legal, Financial, or Tax Advice

9. Fees and Payment

a. Insurance Services

Insurance premiums are set by the applicable carrier and are payable in accordance with the carrier's billing terms; premium payments are ultimately owed to and collected on behalf of the carrier. In addition to the premium, for certain lines of business — including property and casualty policies — Loyal Services may charge a separate agency, broker, or policy fee at the inception of the policy, and, where applicable, upon renewal or a mid-term change. Any such fee is compensation to our agency for the services we provide in connection with placing and servicing your coverage, is separate from and in addition to the premium charged by the carrier, will be disclosed to you in writing before you are charged, and is charged only where and to the extent permitted by the insurance laws of your state. Except as otherwise required by applicable state law, agency and policy fees are earned when charged and are non-refundable.

b. Tax and Business Services

Tax preparation and related business services (such as bookkeeping, entity formation, or payroll support, where offered) are provided for a fee. Our fees for these services are disclosed to you before we begin work — typically in an engagement letter, invoice, or fee schedule — and are charged for the services performed regardless of the outcome of your return or filing (for example, regardless of the amount of any refund or balance due). Fees are due at the time specified in our engagement letter or invoice, which, unless otherwise agreed in writing, is on or before completion of the service and prior to filing or delivery of your completed return or work product. We do not condition our fee on, or calculate it as a percentage of, your tax refund.

10. Disclaimer of Warranties

Our website and services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our website will be uninterrupted, error-free, or secure.

11. Limitation of Liability

13. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles, except where the laws of another state in which we are licensed necessarily apply to insurance transactions conducted in that state. Any dispute arising out of these Terms or your use of our website will be brought exclusively in the state or federal courts located in Harris County or Fort Bend County, Texas, and you consent to the personal jurisdiction of those courts.
